Privacy Policy Regarding Shareholders
GENERAL
On 25 May 2018, the new General Data Protection Regulation (GDPR) entered into force. This privacy policy provides further details on how Perpetua Medical AB (publ) (“Perpetua Medical AB” or the “Company”) processes personal data relating to you in your capacity as a shareholder or representative of a shareholder, or as a holder or representative of a holder of other financial instruments that may be converted into, exchanged for, or entitle the holder to acquire shares (“Shareholder”).
DATA CONTROLLER
Perpetua Medical AB is the data controller for the processing of your personal data and is responsible for ensuring that such processing complies with applicable legislation. For the processing of personal data in the share register (CSD register), the central securities depository is the data controller.
PERSONAL DATA WE PROCESS
Your personal data may be provided to us directly by you or by the company you represent. If your personal data is included in the share register, it may also be provided to us by the central securities depository, Euroclear Sweden AB (publ).
The personal data we process includes:
- Contact details including name, title, address, telephone number and email address;
- Personal identity number;
- Company registration number (if it can be linked to you as an individual);
- Holdings of shares or other financial instruments;
- Financial information, such as information regarding voting rights at general meetings, shareholdings and ownership rights;
- Information, where applicable, regarding proxy holders representing shareholders;
- Information, where applicable, regarding legal guardians, pledged shares and pledgees, as well as other notes in the share register.
Other information provided by you or the organization you represent, or included in the information we receive from the central securities depository, may also be processed.
OUR PROCESSING OF YOUR PERSONAL DATA
The purposes for which we process your personal data and the legal basis for each type of processing are set out in the table below.
HOW LONG WE RETAIN YOUR PERSONAL DATA
Your personal data is retained for as long as required by law or for as long as necessary to fulfill the purpose of the processing.
WHO WE SHARE YOUR PERSONAL DATA WITH
Minutes and voting lists from general meetings may be disclosed to Shareholders present at the meeting, as well as to the Swedish Companies Registration Office, auditors, and others to whom the Company has a legal obligation to disclose the minutes or otherwise deems it appropriate to disclose them. In addition, minutes from general meetings, but not the voting list, may be published on Perpetua Medical AB’s website.
Information regarding, among other things, major Shareholders may be disclosed to authorities, advisors and the public in connection with the preparation of prospectuses, information memoranda and financial reports.
Personal data is also shared with other trusted parties such as suppliers, professional advisors and auditors.
TRANSFER OF PERSONAL DATA TO THIRD COUNTRIES
Perpetua Medical AB will not transfer your personal data to any country outside the EU/EEA other than as stated above under the heading “Who we share your personal data with”.
YOUR RIGHTS
In accordance with applicable legislation, you have the right to request access to, rectification or erasure of, or restriction of processing of personal data concerning you. You also have the right to object to the processing of your personal data. Furthermore, where personal data is processed based on your consent or on the basis of an agreement with you, you have the right to request your personal data in a machine-readable format and to request that the personal data be transferred to another data controller.
You have the right to lodge a complaint regarding Perpetua Medical AB’s processing of your personal data by contacting the Swedish Authority for Privacy Protection (Integritetsskyddsmyndigheten), Box 8114, SE-104 20 Stockholm, Sweden.
IF PERSONAL DATA IS NOT PROVIDED TO PERPETUA MEDICAL AB
If you do not provide your personal data to Perpetua Medical AB, the Company will not be able to fulfill its legal or contractual obligations towards you as a Shareholder, and you will therefore not be able to exercise your rights as a Shareholder, for example your right to attend and vote at general meetings.
UPDATES TO THIS PRIVACY POLICY
Perpetua Medical AB may update this privacy policy from time to time as a result of changes in legal, technical or business developments. This policy was last updated on 28 March 2019. Please note that the version available on the Company’s website, perpetua.se, shall be deemed the latest version.
